Here are Connected Links latest terms and conditions.

1. General

a. These are the Terms and Conditions of Lindsay Linder trading as Connected Links
(Connected Links).

b. The ‘Client’ will be the individual, organisation, group, or business that has requested
Services from Connected Links.

c. The ‘Services’ will include but are not limited to business consultancy and support.

d. The’ Charge’ is the charge for the provision of the Services.

e. The ‘Contract’ is the legal agreement between Connected Links and the Client.

f. The ‘Charge’ is the sum payable for the Services under the Contract.

g. Payment of the Charge is by bank transfer.

h. It is assumed that the Client is acting in the course of business unless Connected Links is
informed otherwise.

2. The Contract

a. Connected Links will provide the Services as set out in any proposal or email provided for
the purpose.

b. Any amendments to the Contract must be agreed in writing between the parties.

c. These Terms and Conditions and the Contract will represent the whole of the terms
between Connected Links and the Client.

3. Delivery of Services

a. Connected Links will provide the Services in accordance with the Contract with
reasonable care and skill.

b. The Client will provide any information or decision requested by Connected Links
promptly and accurately and accepts that any delay in performing the Contract is their
own fault should they fail to do so.

c. If the Client has any concerns or objections, then Connected Links must be informed
immediately so that these can be discussed.

d. Connected Links will not be liable for any loss or damage suffered by the Client or any
third party through any reasonable delay due to unforeseen circumstances. Time is not
of the essence with delivery of any Services.

e. If the Client requires delivery of any Services by a certain date, then this must be
communicated in writing to Connected Links at the very outset. Connected Links is only
bound by such date if they confirm acceptance of this in writing.

4. The Charge

a. The Charge will be specified in any Contract or otherwise agreed at the outset.

b. The Client may be given an hourly rate and an estimate of the Charge that will be made
to complete the Services agreed.

c. A monthly retainer Charge for a certain number of hours may be agreed between the
parties.

d. The Client will be invoiced at monthly intervals for the Charge for the Services in the
previous month. The invoice is payable within 7 days.

e. If a Charge is not paid on time no further Services will be provided until the Charge is
paid in full.

f. If any invoice is not paid within 14 days interest at 8% above the Bank of England
interest rate plus debt collection charges will be payable.

g. All invoices must be paid in full without set-off, deduction or counterclaim.

5. Cancellation/Postponement

a. Connected Links reserves the right to postpone any Services if they are unable to
provide the Services due to matters beyond their control. The Services will be
rescheduled at a mutually convenient time.

b. No refunds of the Charge will be given.

c. To cancel or postpone any meeting agreed between the parties the Client must give at
least 48 hours’ notice or the time will be charged as taken.

6. Termination

a. The Contract will terminate upon completion of the Services unless terminated under
these Terms and Conditions. The Client will have no right to terminate the Contract before
it is completed, and the full Charge agreed will be payable.

b. The Client will have the right to terminate any retainer Contract by giving one month’s
written notice once any minimum term agreed has completed.

c. Connected Links will have the right to terminate the Contract without any liability if in
their opinion the Client is in material breach of these Terms and Conditions or otherwise
acts in a manner that leads them to not wish to continue with the Contract.

7. Copyright and Trademark

a. All procedures, processes, materials, documents supplied in connection with any
Services provided by Connected Links are and remain the intellectual property of
Connected Links. They must not be reproduced, copied in any way electronically or
otherwise, passed to a third party, or used in any way not authorised under the Contract
for use in the business of the Client.

b. Connected Links will grant the Client a licence to use the materials for use within their
business only.

c. If any materials are found to have been used except as specified here by the Client or by
a third party, then damages will be payable to Connected Links by the Client.

8. Confidentiality

a. Any information supplied by the Client to Connected Links will be kept strictly
confidential by them. The information will be used solely for the provision of the
Services unless obligated to provide it by law, a court order or any governmental or
regulatory authority.

b. The Client will obtain knowledge of the procedures, processes, methods and other
business and financial information of Connected Links. The Client will keep such
information strictly confidential.

c. The above clauses will not apply to information that is in the public domain otherwise
than by the act of one of the parties.

9. General Data Protection

Regulation (UK GDPR)

a. Connected Links will comply with UK GDPR and all other UK Data Protection legislation.
They will provide a copy of their Privacy Notice on their website or be available upon
request.

b. Connected Links will only process data to the extent required to enable it to provide the
Services and to comply with its legal obligations.

c. Connected Links may contact the Client in the future with details of similar services
provided by them in the future as allowed by UK GDPR. The Client can ask for such
contact to cease at any time.
d. The Client will comply with UK GDPR in respect of any data they receive through the
Services from Connected Links or otherwise.

10. Force Majeure and Liability

a. Should Connected Links be prevented, hindered or delayed from performing their
obligations under these Terms and Conditions by circumstances outside of their control
(including without limitation acts of God, flood, drought, earthquake, other natural
disasters, epidemic or pandemic, a terrorist attack, civil war, civil commotion or riots,
war, the threat of or preparation for war, armed conflict, the imposition of sanctions,
embargo or breaking off diplomatic relations, nuclear, chemical or biological
contamination, any law or action by government or public authority, the collapse of
buildings, fire explosion or accident, any labour dispute or strike, non-performance by
suppliers or subcontractors, interruption or failure of utility service, any action or order
from the government, travel restrictions) Connected Links shall be relieved from
performing their obligations and will not be in breach of any contract for Services or
otherwise liable for any such failure or delay in the performance of such obligations.

b. Connected Links will not be liable for any claim for indirect, special, or consequential
loss, damage, costs, expenses, or any loss of profits made by the Client or any third
party.

c. The agreement between the parties is exclusive to the Client and no third party shall
have any rights under that agreement.

d. Nothing in these Terms and Conditions will limit or exclude liability for death or personal
injury resulting from negligence or any liabilities that may not be excluded by law.

e. The liability of Connected Links will be limited to the return of any Charge paid for the
Services.

11. Complaints

Any complaints must be raised with Connected Links in writing by email to Connected Links
within 14 days of the incident that gave cause to the complaint.

12. Severance

If one or more of these terms are found to be unlawful or otherwise unenforceable that
provision will be deemed severed from the remainder of these Terms and Conditions which
will remain valid and enforceable.

13. Third Parties

Connected Links reserves the right to use third-party service providers and other
professionals for the provision of all or part of any Services. Any third-party will be vetted
and approved to ensure they adhere to our values and professional standards of Connected
Links.

14. Waiver

The waiver by Connected Links of a breach, default, delay, or omission of any of these terms
or the agreement by the Client will not be construed as a waiver of any preceding or
subsequent breach of the same or other provisions.

15. Notices

a. Any notice or other communication given to a party under or in connection with these
Terms and Conditions shall be in writing, addressed to that party at its registered office or
such other address as may have been provided for that purpose in Great Britain. It shall
be delivered personally or sent by pre-paid first-class post or other next working day
delivery service, commercial courier, or e-mail.

b. A notice or other communication shall be deemed to have been received: if delivered
personally, when left at the address as above. If sent by pre-paid first-class post or other
next working day delivery service on the second normal business day after posting; if
delivered by commercial courier, on the date and at the time that the courier’s delivery
receipt is signed; or, if sent by e-mail, one normal business day after transmission.

c. This clause will not apply to the service of any legal proceedings.

16. Applicable Law

a. These Terms and Conditions shall be governed by the laws of England and Wales.

b. The parties irrevocably agree that the courts of England and Wales will have exclusive
jurisdiction to deal with any dispute or claim arising from these Terms and Conditions.
